These Terms of Service (“Terms”) govern access to and use of Arkian, a multilingual production workflow platform operated by Quiet Harbour Inc. (“Quiet Harbour”, “Arkian”, “we”, “us”, or “our”).

By creating an account, signing in, purchasing credits, submitting a job, downloading outputs, or otherwise using Arkian, you agree to these Terms. If you are using Arkian on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use Arkian.

1. About Arkian

Arkian is a SaaS platform that helps customers transform approved source content into structured multilingual deliverables.

Arkian may support workflows such as:
- voice production
- translation production
- localization strings
- metadata production
- packaging and downloadable output delivery

Arkian is not a legal, compliance, translation-certification, accessibility-certification, or professional review service. Outputs should be reviewed by the customer before use in production, publication, distribution, or commercial release.

2. Accounts and access

To use Arkian, you may need to create or sign in to an account using supported authentication methods, including OAuth providers or other login methods made available by Arkian.

You are responsible for:
- maintaining control of your account
- using accurate account information
- keeping your login credentials secure
- completing required security steps
- ensuring that anyone using your account is authorized to do so

You must notify us if you believe your account has been compromised.

Arkian may require security controls such as two-factor authentication, trusted-device verification, reauthentication, or other account protection measures.

3. Two-factor authentication and trusted devices

Arkian may offer or require two-factor authentication and trusted-device features to help protect accounts.

Trusted-device functionality may allow a device to avoid repeated two-factor challenges for a limited period. You are responsible for using this feature only on devices you control.

Arkian may revoke trusted devices, require reauthentication, or force additional verification where we believe it is necessary for security, fraud prevention, support administration, account protection, or platform integrity.

4. Customer content

“Customer Content” means content, files, text, scripts, source strings, metadata, configuration, instructions, assets, and other materials you submit to Arkian.

You retain ownership of your Customer Content.

You grant Arkian a limited license to process, store, transmit, transform, generate, package, display, and deliver Customer Content solely as needed to provide the Service, operate the platform, secure the platform, provide support, maintain billing records, and comply with legal obligations.

You represent and warrant that:
- you have the rights needed to submit and process Customer Content
- Customer Content does not violate law, privacy rights, intellectual property rights, confidentiality obligations, or contractual restrictions
- Customer Content does not include malware, exploit code, or harmful technical material
- Customer Content is not submitted for unlawful, abusive, fraudulent, or harmful purposes

You are responsible for the legality, accuracy, quality, rights, and appropriateness of Customer Content.

5. Generated outputs

Arkian may generate or package outputs such as translated text, localized strings, metadata, audio files, structured files, ZIP packages, and other deliverables.

Subject to your compliance with these Terms and payment of applicable fees, you may use outputs generated from your Customer Content for your own lawful business or personal purposes.

Arkian does not guarantee that outputs will be perfect, complete, error-free, legally compliant, culturally appropriate, production-ready, or suitable for every use case.

You are responsible for reviewing outputs before relying on them, publishing them, distributing them, or using them in a production system.

6. AI, translation, and text-to-speech providers

Arkian may use third-party infrastructure, AI, translation, text-to-speech, storage, hosting, billing, email, security, analytics, or processing providers to operate the Service.

Outputs may depend on third-party systems and models. Arkian is not responsible for third-party model behavior, pronunciation differences, translation variations, unavailable providers, rate limits, outages, or provider-specific limitations.

Where applicable, Arkian will use commercially reasonable controls to limit processing to the purpose of providing the Service.

7. No model-training grant

Arkian does not claim ownership of Customer Content and does not grant itself the right to train public AI models on Customer Content.

Arkian may use operational metadata, logs, error information, security events, and non-content diagnostics to operate, secure, debug, and improve the Service.

If Arkian’s practices materially change, we will update the applicable legal documents.

8. Credits and billing

Arkian may use credits as the customer-facing usage meter.

Credits may be included with a membership, purchased through add-on packs, granted manually, returned through support action, or otherwise made available by Arkian.

Credits are not cash, stored value, gift cards, banked money, securities, or legal tender. Credits have no cash value and cannot be transferred, resold, exchanged, withdrawn, or redeemed for money unless required by law.

Arkian may display balances, reserved credits, membership credits, add-on credits, usage estimates, credit activity, and related billing information in the dashboard.

9. Credit estimates, reservations, and finalization

Arkian may estimate the credits required for a job before submission.

Estimates are informational. Final credit usage may depend on job configuration, source content, target languages, output format, processing results, provider behavior, reruns, repairs, and other operational factors.

When a job is submitted, Arkian may reserve credits. Reserved credits are not available for other jobs while processing is pending.

When a job completes successfully and a downloadable package is produced, Arkian may finalize the credit charge.

If a job fails, is cancelled by Arkian, or does not produce a downloadable output due to system fault, Arkian may release reserved credits or provide a rerun, credit return, or other remedy at its discretion.

10. Memberships

Arkian may offer recurring memberships that include monthly credits, rollover limits, caps, features, or other benefits.

Membership terms, included credits, caps, renewal dates, and prices may be displayed in the dashboard or checkout flow.

Memberships renew automatically unless cancelled where automatic renewal is enabled. Cancellation stops future renewal but does not necessarily refund prior charges or unused credits.

Membership credits may be subject to caps, limits, expiration rules, rollover rules, or account-status rules.

11. Add-on credit packs

Arkian may offer one-time credit packs. Add-on credits are intended for use within Arkian and are subject to these Terms.

Unless stated otherwise at purchase or required by law:
- completed purchases are final
- credits are non-refundable
- credits have no cash value
- unused credits may be forfeited if the account is closed, deactivated, permanently closed, terminated, or deleted

12. Payments and Stripe

Arkian may use Stripe or another payment processor to process payments, subscriptions, invoices, receipts, payment methods, refunds, taxes, and billing records.

Payment processing is handled by the payment processor. Arkian does not store full payment card numbers.

You agree to provide accurate billing information and authorize applicable charges for purchases, memberships, renewals, usage, taxes, and other amounts presented to you.

Stripe invoices, receipts, hosted billing pages, and payment processor records may govern the payment-processing portion of a transaction.

13. Refunds, reruns, and credits

Unless required by law or stated otherwise in writing:
- completed jobs are non-refundable
- completed credit purchases are non-refundable
- unused credits are non-refundable
- membership fees are non-refundable once billed
- outputs are provided for customer review and verification

If a system fault causes a job to fail or prevents delivery, Arkian may, at its discretion, rerun the job, return credits, release reserved credits, or provide another reasonable correction.

Arkian is not required to refund or rerun jobs where problems are caused by customer input, incorrect configuration, unsupported files, unclear instructions, poor source quality, third-party provider limitations, customer misuse, or customer-side technical issues.

14. Downloads and output availability

Arkian may provide downloadable packages, including ZIP files or other structured outputs.

Download links may expire. Output packages may be retained temporarily and may later be deleted, archived, made unavailable, or inaccessible.

You are responsible for downloading and retaining your own copies of outputs.

Arkian is not a permanent file-storage, backup, archive, or records-management service.

15. Support and administrative corrections

Arkian may provide support through support tickets or other channels.

Support administrators may review account state, job state, billing events, credit balances, reserved credits, support tickets, audit records, and related metadata to troubleshoot issues, prevent abuse, correct errors, process account requests, or maintain platform integrity.

Support administrators may perform account or billing corrections, including credit grants, credit returns, reserved credit releases, membership state review, account reactivation review, and other repair actions.

Administrative actions may be logged for audit, security, support, fraud prevention, and compliance purposes.

16. Account deactivation, reactivation, and permanent closure

Arkian may allow customers to request account deactivation or closure.

During deactivation, normal access may be blocked. Arkian may provide a reactivation window where the account can be restored.

If an account is not reactivated within the applicable window, Arkian may permanently close the account.

Upon deactivation or permanent closure:
- access to the dashboard may be blocked
- access to job history may end
- access to downloads may end
- unused credits may be forfeited
- memberships may need to be cancelled or may end according to billing rules
- certain records may be retained where needed for billing, tax, fraud prevention, security, legal, support, audit, or compliance purposes

Two-factor authentication, trusted devices, session state, account access, and related security settings may be changed, revoked, or reset as part of account lifecycle handling.

17. Acceptable use

You may not use Arkian to:
- violate any law or regulation
- infringe intellectual property rights
- violate privacy, confidentiality, publicity, or data protection rights
- process content you do not have the right to process
- generate fraudulent, deceptive, abusive, hateful, exploitative, or unlawful material
- process malware, exploit code, credential theft material, or harmful technical content
- interfere with Arkian systems, infrastructure, rate limits, security, or operations
- attempt unauthorized access to accounts, systems, data, jobs, outputs, or admin functions
- resell, sublicense, or exploit Arkian in a way that violates these Terms
- bypass credit, billing, usage, authentication, or access controls
- submit regulated, highly sensitive, or restricted information unless you have all required rights and safeguards

Arkian may suspend, restrict, block, or terminate access for suspected violations.

18. Service availability

Arkian may change, pause, limit, suspend, or discontinue any part of the Service at any time.

The Service may be unavailable because of maintenance, upgrades, incidents, provider outages, rate limits, internet issues, security controls, or other causes.

Arkian does not guarantee uninterrupted access, permanent availability, or error-free operation.

19. Beta, experimental, or evolving features

Some Arkian features may be beta, experimental, newly released, or subject to change.

Beta or experimental features may be changed, limited, removed, or produce unexpected results.

You are responsible for reviewing outputs and deciding whether a feature is appropriate for your use case.

20. Customer responsibilities for review and compliance

You are responsible for:
- reviewing all outputs before use
- verifying translations, metadata, localization strings, voice output, naming, file structure, and package contents
- confirming outputs meet your legal, business, brand, accessibility, regulatory, and quality requirements
- keeping your own backups and records
- ensuring your use of Arkian complies with applicable laws and agreements

21. Intellectual property

Arkian, Quiet Harbour Inc., the Arkian platform, software, workflows, interfaces, systems, designs, schemas, tools, source code, trade names, trademarks, and related technology are owned by Quiet Harbour Inc. or its licensors.

Except for rights expressly granted in these Terms, no rights are transferred to you.

You may not copy, reverse engineer, modify, scrape, bypass, or create derivative works from Arkian’s software or systems except as permitted by law.

22. Feedback

If you provide feedback, suggestions, ideas, bug reports, or recommendations, you grant Arkian permission to use them without restriction or compensation.

23. Privacy

Use of Arkian is also governed by the Arkian Privacy Policy.

By using Arkian, you acknowledge that Arkian collects, uses, stores, and discloses information as described in the Privacy Policy.

24. Third-party services

Arkian may link to, integrate with, rely on, or route activity through third-party services.

Third-party services are governed by their own terms and policies. Arkian is not responsible for third-party services, failures, acts, omissions, policies, or content.

25. Suspension and termination

Arkian may suspend, restrict, or terminate access if:
- you violate these Terms
- payment fails
- required security verification is not completed
- your account presents security, fraud, abuse, operational, or legal risk
- your use could harm Arkian, other customers, providers, or the public
- we are required to do so by law or provider restriction

You may stop using Arkian at any time. Account closure and data deletion requests are subject to the Privacy Policy, account lifecycle rules, billing obligations, and legally required retention.

26. Disclaimers

Arkian is provided “as is” and “as available.”

To the fullest extent permitted by law, Arkian disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.

Arkian does not guarantee:
- perfect translations
- perfect voice output
- perfect metadata
- perfect localization
- perfect file extraction
- compatibility with every file format
- uninterrupted service
- permanent output storage
- suitability for regulated or high-risk uses

27. Limitation of liability

To the fullest extent permitted by law, Quiet Harbour Inc., Arkian, and their owners, officers, employees, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, or cost of replacement services.

To the fullest extent permitted by law, Arkian’s total liability for all claims relating to the Service will not exceed the greater of:
- the amount paid by you to Arkian for the Service in the 30 days before the event giving rise to the claim; or
- CAD $100.

Some jurisdictions do not allow certain limitations. In those jurisdictions, liability is limited to the maximum extent permitted by law.

28. Indemnity

You agree to defend, indemnify, and hold harmless Quiet Harbour Inc., Arkian, and their owners, officers, employees, contractors, suppliers, and service providers from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from:
- your Customer Content
- your use of outputs
- your violation of these Terms
- your violation of law
- your infringement or alleged infringement of third-party rights
- your misuse of the Service
- your account activity

29. Changes to the Service or Terms

Arkian may update these Terms from time to time.

When updates are material, Arkian may require you to review and accept the updated Terms before continuing to use the Service.

Continued use of Arkian after updated Terms become effective means you accept the updated Terms.

30. Governing law

These Terms are governed by the laws of Ontario and the applicable laws of Canada.

Unless prohibited by law, disputes will be resolved in the courts located in Ontario, Canada.
